Your relationship with Astatalk.com
Your use of the Astatalk.com website (the "Website") and any products, software and services,
provided to you on or from the Website by Astatalk.com (collectively called the "Services"
in this document) is subject to the terms of a legal agreement between you and Astatalk.com.
"Astatalk.com" means Sampro Trade Ltd., whose principal place of business is at Belize.
Your legal agreement with Astatalk.com is made up of (A) the Terms and conditions set out in
this document, (B) Astatalk.com's Privacy Policy and (C) Astatalk.com's Participation Rules,
collectively called the "Terms".
The Terms form a legally binding agreement between you and Astatalk.com in relation to your use
of the Services.
The Terms apply to all users of the Website.
General provisions
Astatalk.com provides its users with the possibility to share information.
The services offered by Astatalk.com are free of charge.
In order to use the Services, you must firstly agree to the Terms. You may not use the Services
if you do not accept the Terms.
You can accept the Terms by simply using the Services. You understand and agree that Astatalk.com
will treat your use of the Services as acceptance of the Terms from that point onwards.
You may not use the Services and may not accept the Terms if you are not of legal age to form a
binding contract with Astatalk.com.
You should print off or save a local copy of the Terms for your records.
Astatalk.com may make changes to the Terms from time to time. When these changes are made, Astatalk.com

You understand and agree that if you use the Services after the date on which the Terms have
changed, Astatalk.com will treat your use as acceptance of the updated Terms.
Your account
In order to access some features of the Website or other Services, you will have to create an
Astatalk.com account.
When creating your account, you must provide accurate and complete information. It is important that
you must keep your Astatalk.com account password secure and confidential.
You must notify Astatalk.com immediately of any breach of security or unauthorised use of your
Astatalk.com account that you become aware of.
You agree that you will be solely responsible (to Astatalk.com, and to others) for all activity
that occurs under your Astatalk.com account.
General restrictions on use
Astatalk.com hereby grants you permission to access and use the Website and the Services,
provided that the use is not illegal or infringing third party rights.
You agree to refrain from using the Website and the Services for the purpose of copyright
infringement.
You agree not to collect or harvest any personal data of any user of the Website or any Service
(and agree that this shall be deemed to include Astatalk.com account names);
You agree that you will comply with all of the other provisions of the Terms and the Astatalk.com
Community Guidelines at all times during your use of the Services.
You agree that you are solely responsible for (and that Astatalk.com has no responsibility to
you or to any third party for) any breach of your obligations under the Terms and for the consequences
(including any loss or damage which Astatalk.com may suffer) of any such breach.
Your Submissions
As an Astatalk.com account holder you may submit content (collectively referred to as
"Submissions"). You understand that whether or not such Submissions are published, Astatalk.com
does not guarantee any confidentiality with respect to any Submissions.
You retain all of your ownership rights in your Submissions, but you are required to grant
limited licence rights to Astatalk.com and other Website users.
You understand and agree that you are solely responsible for your own Submissions and the
consequences of posting or publishing them. Astatalk.com does not endorse any Submission or any
opinion, recommendation, or advice expressed therein, and Astatalk.com expressly disclaims any and
all liability in connection with Submissions.
You represent and warrant that you have (and will continue to have during your use of the Services)
all necessary licenses, rights, consents, and permissions which are required to enable Astatalk.com
to use your User Submissions for the purposes of the provision of the Services by Astatalk.com, and
otherwise to use your Submissions in the manner contemplated by the Website and these Terms.
Content of your Submissions
You agree that your conduct on the site will comply with (and you agree that the content of all
of your Submissions shall comply with the Astatalk.com Participation Rules,
as updated from time to time.
You agree that you will not post or upload any Submissions which contain content which it
is unlawful for you to possess in the country in which you are resident, or which it would be
unlawful for Astatalk.com to use or possess in connection with the provision of the Services.
You agree that you will not upload or post any Submissions that are subject to any third party
proprietary rights (including rights of privacy or rights of publicity), unless you have a formal
licence or permission from the rightful owner to post the material in question and to grant
Astatalk.com the licence referred to below.
Astatalk.com reserves the right (but shall have no obligation) to decide whether Submissions
comply with the content requirements set out in these Terms and may remove such Submissions and/or
terminate a User's access for uploading any Submission which is in violation of these Terms at any
time, without prior notice and at its sole discretion.
You further understand and acknowledge that in using the Website and the Services, you may be
exposed to Submissions that are factually inaccurate, offensive, indecent, or otherwise objectionable
to you. You agree to waive, and hereby do waive, any legal or equitable rights or remedies you
have or may have against Astatalk.com with respect to any such Submissions.
Licence
When you upload or post a Submission to Astatalk.com, you grant:
A) to Astatalk.com, a worldwide, non-exclusive, royalty-free, transferable licence (with right
to sub-licence) to use, reproduce, distribute, prepare derivative works of, display, and perform that
Submission in connection with the provision of the Services and otherwise in connection with the
provision of the Website and Astatalk.com's business;
B) to each user of the Website, a worldwide, non-exclusive, royalty-free, licence to access your
Submissions through the Website, and to use, reproduce, distribute, prepare derivative works of,
display and perform such Submissions to the extent permitted by the functionality of the Website
and under these Terms.
The licence is for an indefinite period and will be non-revocable, even in the case you have
deleted your account or have been banned.
Intellectual property of Astatalk.com
With the exception of Submissions, all other content on the Website is subject to copyright,
trade mark rights, and other intellectual property rights of Astatalk.com or Astatalk.com's licensors.
Any third party trade or service marks present on the Astatalk.com Content are trade or service marks
of their respective owners.
Astatalk.com Content may not be downloaded, copied, reproduced, distributed, transmitted, broadcast,
displayed, sold, licensed, or otherwise exploited for any other purpose whatsoever without the
prior written consent of Astatalk.com, or Astatalk.com's licensors. Astatalk.com reserves all rights
not expressly granted in and to the Astatalk.com Content.

The Services may include hyperlinks to other web sites that are not owned or controlled by
Astatalk.com. Astatalk.com has no control over, and assumes no responsibility for, the content,
privacy policies, or practices of any third party websites.
You acknowledge and agree that Astatalk.com is not responsible for the availability of any such
external sites or resources, and does not endorse any advertising, products or other materials on
or available from such web sites or resources.
Ending your relationship with Astatalk.com
The Terms will continue to apply until terminated by either you or Astatalk.com as set out below.
If you want to terminate your legal agreement with Astatalk.com, you may do so by (a) notifying
Astatalk.com (b) closing your Astatalk.com account. Your notice should be sent Astatalk.com's email
address.
Astatalk.com may at any time, terminate its legal agreement with you.

No warranty
The Services are provided "as is" and Astatalk.com makes no warranty or representation to you
with respect to them.
Limitation of Liability
Astatalks shall not be liable to you for any direct, indirect or consequential losses which may
be incurred by you as a result of imputably failing to perform by Astatalk.
If Astatalk should be held liable, the total compensation for direct damage shall not, however,
in any case exceed EUR 500,--. "Direct damage" shall solely mean:
i) reasonable expenses incurred to determine the cause and scope of the damage,
ii) reasonable expenses incurred to prevent or mitigate damage.
Astatalks liability for consequential damage, consequential loss, lost profits, lost savings, loss
of goodwill, damage through business interruptions, damage ensuing from claims by third parties,
mutilation or loss of data, and all other forms of damage or injury, on any account whatsoever,
shall be excluded.
Astatalks liability because of an imputable failure to perform shall in all cases only arise
if you immediately and properly provide Astatalk with a written notice of default, with a reasonable
time period for remedying the failure being given and Astatalk still imputably fails to perform its
obligations after that period as well. The notice of default must contain a description of the
breach which is as complete and specific as possible, so that Astatalk can respond adequately.
For any right to damages to exist, you must always report the damage to Astatalk in writing as
soon as possible after it occurs. Any claim to damages against Astatalk shall be extinguished by
the mere lapse of 2 months after the claim arises.
Legal terms
You agree that Astatalk.com may provide you with notices, including those regarding changes to
the Terms, by email, regular mail, or postings on the Astatalk.com website.
If any court of law, having the jurisdiction to decide on this matter, rules that any provision
of these Terms is invalid, then that provision will be removed from the Terms without affecting the
rest of the Terms. The remaining provisions of the Terms will continue to be valid and enforceable.
The Terms, and your relationship with Astatalk.com under the Terms, shall be governed by the laws
of Belize. You and Astatalk.com agree to submit to the exclusive jurisdiction of the courts of Belize
to resolve any legal matter arising from the agreement with Astatalk.com and the Terms.
Notwithstanding this, you agree that Astatalk.com, and Astatalk.com only, shall still be allowed
to apply for injunctive remedies (or other equivalent types of urgent legal remedy) in any jurisdiction.
