Uninstall older versions of mathematica 6, if installed.
Please delete these before installing.
C:\Documents and Settings\**your username**\Application Data\Mathematica\Licensing\mathpass
and
C:\Documents and Settings\All Users\Application Data\Mathematica\Licensing\mathpass
